just looking out there, if anyone within 3 hour distance, has an s54 with no grinding issues, that wants to get rid of......

Have you tried some Syncromesh? It's worth a shot before replacing your trans. I used to have like 907 of these transmissions sitting around but I'm out of stock now. Ricochet1490 may have one. I could go up there and pick it up for you if he does.
